Notice is hereby given of the Annual General Meeting of

The Waratahs Rugby Union Club Incorporated

to be held 11.30 am on Sunday 8th March 2026 at

Hamilton North Bowling Club – Boreas Road Georgetown

Business

The business of the Annual General Meeting will be as follows:

1. Confirm Minutes of previous General Member Meeting

The prior year AGM was held on 2nd March 2025.

Copies of minutes of the prior year AGM will be tabled at the meeting.

2. Receive the Committee’s Address for 2025

The Interim committee reports that while there was little activity during the year the following

items can be noted:-

• One of the cages at Waratah has been vacated and is now occupied by Waratah

Mayfield Cricket.

• A draft proposal on distribution of funds has been proposed.

• Assisted Old Boys with ownership transfer of Waratah Oval shipping container

• Consolidated number of bank accounts.

• Continued to reinvest term deposit

• Provided support to a Women’s team in the Beach 7’s competition.

3. Receive the Financial Report for 2025

The financial report is available for inspection upon request and will be tabled at the AGM.

In summary, there was limited financial transaction with little change in the bank balance during

the year. As at 31st October 2025 the bank balance was $30,544 compared to $29,448 as at 31st

October 2024.

4. Election of Interim Committee Members for 2026

As endorsed at the 2024 AGM the Club is essentially dormant and as a result an interim Committee

was formed at the 2025 AGM to manage the Club’s affairs with the longer-term view to wind-up

the Club. It is proposed that this arrangement continue again for the 2026 year.

All the members of the Interim Committee will vacate their positions at the AGM and the meeting

will call for nominations to the Interim Committee at the meeting.

Greg Taylor is the Club’s Public Officer and has again agreed to continue that roll.

5. Member Fees for 2026

Under the Club’s constitution all members must be financial. It is proposed the member fees be set

at $0 for any member of the Interim Committee and $1 for all other members.

6. Motion to Distribute Club Funds

As previously discussed at last year’s AGM, the Club has no active rugby teams and is unlikely to

field a team in the future. As the Club has a reasonable sum of money the issue is how those funds

should be spent prior to winding-up the Club.

The Committee has discussed this and proposes the following allocation of funds.It should be noted that:-

• This allocation only distributes approx. 40% of the Club’s finances, with the intention that

the remaining funds can be allocated over the next year or two;

• Sufficient funds remain to support any Beach 5’s team for next year; and

• There is no allocation to the West Newcastle Wildcats Junior Rugby Union Club. This

decision was based on deferring any decision until we have a better understanding of their

longer-term status.
